Terms of Use

Welcome to Title Collections Inc. (“Title”). By using our platform, website, and services (the “Platform”), you agree to these Terms of Use (“Terms”). If you do not agree, you must not use the Platform.
Who We Are
Title provides technology and services for managing art and collectibles. Our Platform includes cataloging through AI-enabled processes, collection management software, financial reporting, concierge services, and a private marketplace. We serve professional advisors, individual collectors, and third-party service providers.
Governing Law
These Terms are governed by the laws of the Province of Québec, Canada, and the State of Delaware, U.S.A., without regard to conflict-of-law rules. You agree that disputes may be resolved exclusively in the courts of Montréal, Québec or Delaware, at our discretion.
User Roles
We support three types of users:

Advisors: family offices, wealth managers, fiduciaries, and other professional representatives.

Collectors: individuals or entities managing their own collections.

Third-Party Service Providers: appraisers, shippers, insurers, warehousing companies, and similar providers.
Each user role has different permissions. Users may only act within their assigned role.
Fees and Confidentiality
Fees are determined on an enterprise and case-by-case basis. All fees are confidential and may not be disclosed to third parties. Additional fees may apply for concierge services or third-party services. Clients are responsible for paying all applicable charges under the payment terms provided to them.
Third-Party Services and Appraisals
We coordinate with independent third parties to provide services such as appraisals, shipping, insurance, and warehousing. Title acts only as a coordinator. Responsibility for the quality, accuracy, or outcomes of such services lies entirely with the third-party provider. Users acknowledge that appraisals are conducted by independent appraisers and that Title has no liability for appraisal results.
Marketplace
The Marketplace may include both public listings and private, brokered transactions. Title provides the Marketplace as a platform only and is not a party to any transaction. Title disclaims all liability relating to transactions between users. Our maximum liability for any Marketplace transaction is limited to the amount of fees received by Title for that transaction.
User Responsibilities
You agree to:

Provide accurate and lawful information.

Maintain the security of your login credentials.

Use the Platform in compliance with all applicable laws.

Be responsible for activity carried out under your account.
Prohibited Uses
You may not use the Platform to:

Upload or distribute illegal, obscene, pornographic, or offensive content.

Trade in unlawful assets such as drugs, weapons, counterfeit goods, or stolen property.

Engage in fraud, money laundering, or other illegal financial activity.

Harm or attempt to disrupt the Platform or misuse its services.
We reserve the right to suspend or terminate accounts that violate these rules.
Data Ownership and Retention
You own the data you upload to the Platform. By using the Platform, you grant us a license to store, process, and use your data for service delivery, improvement of services, and development of data models and automations. Title will retain data for seven (7) years after termination unless law requires earlier deletion. We may use aggregated, anonymized metadata for analysis, but we do not sell personal data.
Privacy
Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms. The Privacy Policy explains how we collect, use, and protect your information.
Termination and Suspension
We may suspend or terminate accounts at our discretion, including for misuse, breach of these Terms, or non-payment. If termination is for breach, no refunds will be given. If termination is for other reasons, we will refund prepaid subscription fees on a pro-rata basis.
Intellectual Property
The Platform, including all software, designs, and content, is owned by Title or our licensors. You are granted a limited, non-exclusive, non-transferable license to use the Platform in accordance with these Terms.
Disclaimer and Limitation of Liability
The Platform is provided “as is” and “as available.” We make no warranties about uninterrupted service, accuracy, or fitness for a particular purpose. Title is not liable for indirect, incidental, or consequential damages. Our total liability under these Terms is limited to the amount of fees you paid to Title in the twelve (12) months before the claim.
Changes to These Terms
We may update these Terms from time to time. Changes will be effective once posted on our website. Your continued use of the Platform means you accept the updated Terms.
